Our client is one of the region’s fastest-growing mid-sized law firms. The firm provides sophisticated legal counsel to businesses, funds, investors, lenders, entrepreneurs, executives, families, and high-net-worth individuals.

We are assisting the firm in the identification and hiring of a Senior Corporate Finance Attorney (Debt Finance) to help build and expand its debt finance practice.

This is an opportunity for an experienced transactional attorney to handle sophisticated borrower- and lender-side financing matters while playing a meaningful role in the growth and direction of the practice. The attorney will have substantial client interaction, independently manage transactions, collaborate across practice groups, and help supervise and develop junior attorneys.

The ideal candidate will have significant experience structuring, negotiating, documenting, and closing senior and subordinated credit facilities. This includes secured and unsecured transactions, asset-based lending, term loans, revolving facilities, acquisition financing, and other complex financing arrangements.

The position offers a strong platform for long-term growth and the opportunity to assume a leadership role as the debt finance practice continues to expand.

Responsibilities

• Represent borrowers and lenders in debt financing transactions and credit facilities, including traditional asset-based lending, term loans, revolving facilities, acquisition financing, and warehouse facilities for novel financial products.

• Draft, review, and negotiate loan agreements, security agreements, guarantees, intercreditor agreements, and other financing documents.

• Advise clients on the structure and negotiation of financing transactions supporting company growth, acquisitions, expansion, and operational capital requirements.

• Manage transactions from the initial term sheet through closing.

• Coordinate due diligence, closing deliverables, documentation, and overall transaction execution.

• Work closely with banks, private credit lenders, private equity sponsors, venture capital firms, investors, and corporate clients.

• Provide strategic guidance regarding financing structures, risk allocation, transaction management, and practical business considerations.

• Supervise, mentor, and teach junior corporate attorneys working on financing matters.

• Collaborate with attorneys across the firm’s corporate, mergers and acquisitions, tax, real estate, bankruptcy, and commercial practice groups.

• Develop and maintain strong client relationships through responsive communication, sound judgment, and consistently high-quality work.

Qualifications

• Juris Doctor from an accredited law school.

• Admission to the Pennsylvania Bar or the ability to waive into Pennsylvania. Candidates admitted in New Jersey and/or New York may also be considered on a case-by-case basis.

• 5+ years of experience in debt finance, corporate finance, commercial lending, or closely related transactional matters.

• Experience representing borrowers and/or lenders in secured and unsecured financing transactions.

• Strong drafting and negotiation experience involving complex loan and financing documents.

• Ability to independently manage sophisticated transactions and client relationships.

• Large law firm or sophisticated boutique transactional experience is preferred.

• Ability and interest in supervising and developing junior attorneys.

• Preference will be given to candidates able to work from the firm’s Philadelphia or Conshohocken office.
